i. You Own the NFT and any $THISTLE tokens you may hold. Each art piece is an NFT on the Ethereum blockchain. When you purchase an NFT, you own the underlying Art, completely. Ownership of the NFT is mediated entirely by the Smart Contract and the Ethereum Network: at no point may we seize, freeze, or otherwise modify the ownership of any collectible.

ii. Personal Use. iii. Commercial Use. All purchases are non-refundable. You can sell your subscription at any time by selling the NFT on a marketplace.

As a user of the Site, you agree not to:

-Upload or transmit (or attempt to upload or transmit) any material that acts as a passive or active information collection or transmission mechanism, including without limitation, clear graphics interchange format (“gifs”), 1×1 pixels, web bugs, cookies, or other similar devices (sometimes referred to as “spyware” or “passive collection mechanisms” or “pcms”).

-Disparage, tarnish, or otherwise harm, in our opinion, us and/or the Site.

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. These Terms of Use and your use of the Site are governed by and construed in accordance with the laws of the Republic of Singapore, being location of the parent holding company regardless of the location of its subsidiaries in Europe, and is applicable to agreements made and to be entirely performed within the jurisdictions of Singapore, without regard to its conflict of law principles.

Binding Arbitration
If the Parties are unable to resolve a Dispute through informal negotiations, the Dispute (except those Disputes expressly excluded below) will be finally and exclusively resolved by binding arbitration. YOU UNDERSTAND THAT WITHOUT THIS PROVISION, YOU WOULD HAVE THE RIGHT TO SUE IN COURT AND HAVE A JURY TRIAL. The arbitration shall be commenced and conducted under the Commercial Arbitration Rules. Your arbitration fees and your share of arbitrator compensation shall be governed by Consumer Rules and, where appropriate, limited by Consumer Rules. The arbitration may be conducted in person, through the submission of documents, by phone, or online. The arbitrator will make a decision in writing, but need not provide a statement of reasons unless requested by either Party. The arbitrator must follow applicable law, and any award may be challenged if the arbitrator fails to do so. Except where otherwise required by the applicable law, the arbitration will take place in Singapore. Except as otherwise provided herein, the Parties may litigate in court to compel arbitration, stay proceedings pending arbitration, or to confirm, modify, vacate, or enter judgment on the award entered by the arbitrator.

If for any reason, a Dispute proceeds in court rather than arbitration, the Dispute shall be commenced or prosecuted in the state and federal courts located in New York County, New York, and the Parties hereby consent to, and waive all defenses of lack of personal jurisdiction, and forum non conveniens with respect to venue and jurisdiction in such state and federal courts. Application of the United Nations Convention on Contracts for the International Sale of Goods and the Uniform Computer Information Transaction Act (UCITA) are excluded from these Terms of Use.

In no event shall any Dispute brought by either Party related in any way to the Site be commenced more than one (1) year after the cause of action arose. If this provision is found to be illegal or unenforceable, then neither Party will elect to arbitrate any Dispute falling within that portion of this provision found to be illegal or unenforceable and such Dispute shall be decided by a court of competent jurisdiction within the courts listed for jurisdiction above, and the Parties agree to submit to the personal jurisdiction of that court.

Restrictions
The Parties agree that any arbitration shall be limited to the Dispute between the Parties individually. To the full extent permitted by law, (a) no arbitration shall be joined with any other proceeding; (b) there is no right or authority for any Dispute to be arbitrated on a class-action basis or to utilize class action procedures; and (c) there is no right or authority for any Dispute to be brought in a purported representative capacity on behalf of the general public or any other persons.

Exceptions to Arbitration
The Parties agree that the following Disputes are not subject to the above provisions concerning binding arbitration: (a) any Disputes seeking to enforce or protect, or concerning the validity of, any of the intellectual property rights of a Party; (b) any Dispute related to, or arising from, allegations of theft, piracy, invasion of privacy, or unauthorized use; and (c) any claim for injunctive relief. If this provision is found to be illegal or unenforceable, then neither Party will elect to arbitrate any Dispute falling within that portion of this provision found to be illegal or unenforceable and such Dispute shall be decided by a court of competent jurisdiction within the courts listed for jurisdiction above, and the Parties agree to submit to the personal jurisdiction of that court.

The instructions You enter to effect Your trades using the Site will be executed using the application programming interface key (“API Key”) of Your exchange accounts that you share with Us. You hereby grant Us permission to place orders and trade on Your behalf on the exchange using your API Key. We do not guarantee execution via the API Key and do not warrant the protection or security of the API Key. We shall not be liable for any losses incurred by You in the event an API Key is lost, stolen, misused or malfunctions. We only collect an API Key from You for the purpose of placing orders in accordance with Your strategies and instructions. In the event You provide an API Key with withdrawal permissions enabled, which may cause, upon placing an order, any withdrawal from Your account, We shall not be held liable under any circumstances.

No representation or implication is being made that using the Site will guarantee profits or ensure freedom from losses. Simulated performance results have inherent limitations and should not be interpreted as a recommendation to buy or sell any assets nor a guarantee of future returns. Thistle Capital SHALL NOT BE LIABLE TO REFERRER, OTHER PARTY, OR ANY OTHER PERSON FOR ANY INDIRECT, SPECIAL, INCIDENTAL, PUNITIVE, EXPECTATION OR CONSEQUENTIAL DAMAGES OF ANY KIND (INCLUDING LOST PROFITS OR OTHER SIMILAR TYPE OF DAMAGES), REGARDLESS OF THE FORM OF ACTION, WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY OR OTHERWISE, EVEN IF INFORMED OF THE POSSIBILITY OF SUCH DAMAGES IN ADVANCE. Thistle Capital’s MAXIMUM AND AGGREGATE LIABILITY (FOR A SINGLE OR MULTIPLE CLAIMS) TO REFERRER OR ANY OTHER PERSON FOR BREACHES OF THESE TERMS, THIRD PARTY CLAIMS OR OTHERWISE SHALL IN NO EVENT EXCEED THE AMOUNT OF THE REFERRAL BONUS OR REFERRAL CREDIT OWED TO REFERRER. ANY LEGAL ACTION BY EITHER PARTY ARISING UNDER THIS AGREEMENT MUST BE FILED WITHIN TWELVE (12) MONTHS FROM THE DATE THAT SUCH CLAIM ARISES, AND BOTH PARTIES WAIVE ANY RIGHT TO FILE ANY ACTION ARISING UNDER THIS AGREEMENT UNDER ANY LONGER STATUTE OF LIMITATIONS PERIOD.

Severability

If any provision in the Terms is held to be invalid, void, or unenforceable, such provision (or the part of it that is invalid, void or unenforceable) will be struck and not affect the validity of and enforceability of the remaining provisions.

Modification & Termination

Thistle Capital reserves the rights at their sole discretion as deemed fair and appropriate, for any reason, to:
1) modify or cancel the Program at any time with or without notice;
2) suspend or deny any Referrer account or ability to participate in the Program,
3) deny or refuse service to any Referral. All changes to the Terms will be posted on www.Thistle Capital and will become effective immediately upon posting.

If you wish to terminate your account, you may do so at any time by selling your NFT. You will be responsible for making your trading bot inactive.

We may terminate or suspend your account and bar access to the Service immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever and without limitation, including but not limited to a breach of the Terms.

All provisions of the Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity and limitations of liability.

You agree to indemnify, defend and hold harmless Thistle Capital International., its principals, officers, directors, representatives, employees, contractors, licensors, licensees, suppliers and agents, from and against any claims, losses, damages, losses, obligations, costs, actions or demands.

These include but are not limited to: (a) legal and accounting fees resulting from your use of the Service; (b) your breach of any of these Terms; (c) anything you post on or upload to the Service; and (d) any activity related to your account. This includes any negligent or illegal conduct by you, any person or entity accessing the Service using your account whether such access is obtained via fraudulent or illegal means.

Limitation of liability

In no event shall Thistle Capital, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) your access to or use of or inability to access or use the Service; (ii) any conduct or content of any third party on the Service; (iii) any content obtained from the Service; and (iv) unauthorized access, use or alteration of your transmissions or content, whether based on warranty, contract, tort (including negligence) or any other legal theory, whether or not we have been informed of the possibility of such damage, and even if a remedy set forth herein is found to have failed of its essential purpose.

Your use of the Service is at your sole risk. The Service is provided on an "AS IS" and "AS AVAILABLE" basis. The Service is provided without warranties of any kind, whether express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, non-infringement or course of performance.

Thistle Capital its subsidiaries, affiliates, and its licensors do not warrant that a) the Service will function uninterrupted, secure or available at any particular time or location; b) any errors or defects will be corrected; c) the Service is free of viruses or other harmful components; or d) the results of using the Service will meet your requirements.

Exclusions

Some jurisdictions do not allow the exclusion of certain warranties or the exclusion or limitation of liability for consequential or incidental damages, so the limitations above may not apply to you depending on your location.

Governing Law

These Terms shall be governed and construed in accordance with the laws Switzerland, without regard to its conflict of law provisions.

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect. These Terms constitute the entire agreement between us regarding our Service, and supersede and replace any prior agreements we might have had between us regarding the Service.

Severability

In the event that any provision of these Terms of Service is determined to be unlawful, void or unenforceable, such provision shall nonetheless be enforceable to the fullest extent permitted by applicable law, and the unenforceable portion shall be deemed to be severed from these Terms and Conditions. Such determination shall not affect the validity and enforceability of any other remaining provisions.

Losses & Errors

NFT trading can incur financial loses, it is your responsibility to manage your investments and we do not advise on collectible's current or future value.

It is your responsibility to make payments to the correct addresses we provide to buy an NFT.

It is your responsibility to provide accurate Blockchain wallet addresses that you own in order to receive your purchases. Thistle Capital will not be held responsible for any errors on your part. Transactions are final and cannot be undone.

Visiting the Site, sending us emails, and completing online forms constitute electronic communications.

You consent to receive electronic communications, and you agree that all agreements, notices, disclosures, and other communications we provide to you electronically, via email and on the Site, satisfy any legal requirement that such communication be in writing.

YOU HEREBY AGREE TO THE USE OF ELECTRONIC SIGNATURES, CONTRACTS, ORDERS, AND OTHER RECORDS, AND TO ELECTRONIC DELIVERY OF NOTICES, POLICIES, AND RECORDS OF TRANSACTIONS INITIATED OR COMPLETED BY US OR VIA THE SITE.
